The US government is officially investing in Intel, a remarkable development and a rare example of the government getting financially involved in a private company. Under the terms of the deal, the US is investing $8.9 billion into the chipmaker, "reflecting the confidence the Administration has in Intel to advance key national priorities and the critically important role the company plays in expanding the domestic semiconductor industry," the chipmaker said in a Friday announcement. "Under the terms of today's announcement, the government agrees to purchase 433.3 million primary shares of Intel common stock at a price of $20.47 per share, equivalent to a 9.9% stake in the company," Intel added. "This investment provides American taxpayers with a discount to the current market price while enabling the US and existing shareholders to benefit from Intel's long-term business success."
The government’s investment in Intel “will be a passive ownership, with no Board representation or other governance or information rights,” according to Intel. “We are grateful for the confidence the President and the Administration have placed in Intel, and we look forward to working to advance U.S. technology and manufacturing leadership,” Tan says in the press release. The move is unusual, as the US government typically takes partial ownership in private companies only under extreme circumstances, such as war or economic crisis. For example, it directly supported several banks and automakers during the 2008 financial crisis by purchasing stakes. But the money which the struggling chipmaker was slated to receive anyway under a federal funding act will not be enough for its contract-chipmaking business to flourish. What Intel needs is external customers for its so-called cutting-edge 14A manufacturing process a tough ask, at least in the short term.

Intel said on Monday that the U.S. government's 9.9% stake in the chipmaker could pose risks to its business, from potentially harming international sales to limiting its ability to secure future government grants. The company laid out new risk factors in a securities filing after the government decided to convert $11 billion in government grants into an equity stake in Intel, the latest extraordinary intervention in corporate America by President Donald Trump. Separately, Intel CEO Lip-Bu Tan said in a video posted on Monday by the Commerce Department that the company did not need the government funding. "I don't need the grant," Tan said. "But I really look forward to having the U.S. government be my shareholder."
But the filing from Intel raised questions about the U.S. investment. Intel noted, for example, that it is uncertain if the deal may result in other government entities trying to convert existing grants into equity investments or if they might be unwilling to support future grants. Intel's non-U.S. business may also be impacted by the U.S. government being a significant stockholder as this could subject the company to additional regulations or restrictions such as foreign subsidy laws in other countries, the filing said. Sales outside the United States accounted for 76% of its revenue last year while revenue from China contributed 29% to total revenue.
